These Terms of Service ("Terms") govern your access to and use of Apiroi, including our mobile application (iOS and Android) and website apiroi.com (collectively, the "Service"), operated by PROFCARE LLC ("we", "us", "our").

By creating an account, downloading, accessing, or using the Service, you agree to be bound by these Terms.

1. ELIGIBILITY

You must be at least 13 years old (or the minimum age required by law in your jurisdiction) to use the Service.

If you are under 18, you represent that you have reviewed these Terms with a parent or legal guardian and they have agreed to these Terms on your behalf.

If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

By using the Service, you confirm that you meet these eligibility requirements.


2. ACCOUNTS AND SECURITY

2.1 Account Creation You are responsible for:

  • Providing accurate and complete information during registration
  • Keeping your account information up to date
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account

2.2 Account Security You must:

  • Choose a strong, unique password
  • Not share your account credentials with others
  • Promptly notify us at support@apiroi.com if you suspect unauthorized access or account compromise

2.3 Account Responsibility You are solely responsible for all actions taken through your account, whether or not authorized by you.


  1. SIGN-IN METHODS

The Service may offer multiple authentication methods, including:

  • Email and password
  • Sign in with Apple
  • Sign in with Google

If you use a third-party authentication provider (Apple or Google):

  • That provider's terms and privacy policies also apply
  • We receive only the information necessary to create or link your Apiroi account
  • You are responsible for managing permissions through that provider

  1. SUBSCRIPTIONS, PURCHASES, AND BILLING

Apiroi may offer paid subscriptions, premium features, and in-app purchases.

4.1 Mobile Purchases (iOS and Android)

  • Digital purchases in the mobile app are processed through Apple App Store or Google Play
  • Your purchase, subscription management, cancellation, renewal, and refund rights are governed by the applicable app store's terms and policies
  • We do not process or store your payment card details for in-app purchases

4.2 Web Purchases (apiroi.com)

  • Purchases on apiroi.com may be processed by third-party payment processors (e.g., Stripe)
  • Web purchases may have different pricing, billing cycles, and features than in-app purchases
  • You agree to provide accurate payment information
  • You authorize us to charge your payment method for the applicable fees

4.3 Free Trials and Auto-Renewal

  • Free trials or promotional offers may convert to paid subscriptions unless you cancel before the trial period ends
  • Subscriptions automatically renew unless you cancel before the renewal date through the platform where you purchased
  • We may change subscription pricing with advance notice; changes apply at the next renewal

4.4 Taxes

  • Prices may not include applicable taxes
  • You are responsible for any taxes, duties, or fees imposed by your jurisdiction
  • Taxes are calculated based on your location and the purchase channel

4.5 No Refunds (Generally)

  • All purchases are generally non-refundable except as required by law or the applicable app store's refund policy
  • For web purchases, refund requests must be submitted to support@apiroi.com and are evaluated case-by-case

5. USER CONTENT

5.1 Definition "User Content" includes all data, text, images, photos, videos, notes, records, files, and other materials you upload, submit, create, or transmit using the Service, including:

  • Beekeeping records (apiaries, hives, inspections, treatments, tasks)
  • Photos and attachments
  • Marketplace listings and descriptions (if applicable)
  • Messages and communications with other users

5.2 Ownership You retain all ownership rights to your User Content.

5.3 License to Apiroi By submitting User Content, you grant PROFCARE LLC a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to:

  • Host, store, process, transmit, display, and reproduce your User Content
  • Use your User Content solely to operate, maintain, improve, and provide the Service
  • Create derivative works (e.g., backups, format conversions) as necessary to provide the Service

This license ends when you delete your User Content or account, except for:

  • Content shared with other users (which remains accessible to them)
  • Content retained in backups (deleted within a reasonable period)
  • Content we must retain for legal or compliance reasons

5.4 Sharing and Collaboration If you use "Apiary Access" or other sharing features:

  • You authorize us to share your User Content with users you invite
  • Shared users can access, view, and interact with shared content according to the permissions you set
  • You are responsible for managing permissions and access

5.5 Your Responsibilities You represent and warrant that:

  • You own or have the necessary rights to submit your User Content
  • Your User Content does not violate any law, regulation, or third-party rights
  • Your User Content is accurate and not misleading (especially for marketplace listings)

  1. MARKETPLACE AND PUBLIC CONTENT (Web)

6.1 Overview The Service may include a marketplace and public areas on apiroi.com where users can post listings, offers, descriptions, photos, and other content ("Public Content"). The mobile app may allow viewing of Public Content.

6.2 Your Responsibilities You are solely responsible for Public Content you post and represent that:

  • You own or have the necessary rights and permissions (including for photos, logos, trademarks, and descriptions)
  • It is accurate, complete, and not misleading
  • It complies with all applicable laws and regulations
  • It does not violate any third-party rights (intellectual property, privacy, publicity, etc.)

6.3 Prohibited Marketplace Content You agree not to post content that:

  • Is illegal, fraudulent, deceptive, or misleading
  • Infringes intellectual property or other rights
  • Contains malware, viruses, or harmful code
  • Is defamatory, hateful, harassing, threatening, or discriminatory
  • Is sexually explicit or inappropriate
  • Violates privacy or data protection laws
  • Promotes illegal activities or regulated items (without proper authorization)
  • Contains false or misleading claims about products or services

6.4 Moderation and Removal We reserve the right (but have no obligation) to:

  • Review, monitor, screen, or remove Public Content at any time
  • Remove content that violates these Terms, is unlawful, or could create liability for Apiroi or others
  • Suspend or terminate accounts for violations
  • Cooperate with law enforcement or regulatory authorities

Removal of content does not waive any of our rights or remedies.

6.5 Transactions and Disclaimers APIROI PROVIDES A PLATFORM FOR MARKETPLACE LISTINGS BUT:

  • Does not guarantee the quality, safety, legality, accuracy, or availability of listings
  • Is not a party to transactions between users
  • Does not verify seller credentials, product authenticity, or transaction safety
  • Is not responsible for disputes, losses, damages, or issues arising from marketplace interactions

Any transaction between users is solely between those users. You transact at your own risk. We recommend:

  • Meeting in safe, public locations
  • Inspecting items before payment
  • Using secure payment methods
  • Verifying seller reputation and credentials

7. ACCEPTABLE USE

You agree NOT to:

7.1 Legal Violations

  • Use the Service in violation of any applicable law or regulation
  • Use the Service for any illegal purpose or to facilitate illegal activity

7.2 Rights Violations

  • Infringe or violate intellectual property, privacy, publicity, or other rights of any person or entity
  • Post content you do not have the right to post

7.3 Security and Integrity

  • Upload or transmit malware, viruses, or any harmful code
  • Attempt to gain unauthorized access to accounts, data, systems, or networks
  • Interfere with, disrupt, or damage the Service or its security features
  • Bypass or circumvent any security, access control, or usage restrictions

7.4 Misuse and Abuse

  • Scrape, data mine, or use automated tools to access the Service (except where legally permitted or with our written permission)
  • Reverse engineer, decompile, disassemble, or attempt to derive source code (except where legally permitted)
  • Impersonate any person or entity or misrepresent your affiliation
  • Harass, abuse, threaten, or intimidate other users
  • Create multiple accounts to evade restrictions or bans
  • Use the Service to distribute spam or unsolicited communications

7.5 Enforcement We may suspend, restrict, or terminate access for violations of these Terms or suspected misuse, with or without notice.


8. INTELLECTUAL PROPERTY

8.1 Apiroi's Rights The Service, including all software, code, designs, graphics, text, user interfaces, visual interfaces, trademarks, logos, sounds, music, artwork, and other content provided by Apiroi ("Apiroi Content"), is owned by PROFCARE LLC or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business use, subject to these Terms.

8.3 Restrictions You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Use Apiroi's trademarks, logos, or branding without written permission
  • Remove or alter any copyright, trademark, or proprietary notices

8.4 Feedback If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation or compensation to you.


9. COPYRIGHT AND DMCA

9.1 Respect for Copyright We respect intellectual property rights and expect users to do the same.

9.2 DMCA Takedown Process If you believe content on the Service infringes your copyright, you may submit a takedown notice under the Digital Millennium Copyright Act (DMCA).

9.3 Repeat Infringers We may terminate accounts of users who are repeat copyright infringers in appropriate circumstances.

  • Payment processors (Apple, Google, Stripe)

10.2 Third-Party Terms Your use of third-party services is subject to their own terms, conditions, and privacy policies. We are not responsible for third-party services.

10.3 No Endorsement We do not endorse or guarantee third-party services or content, and we are not liable for any issues arising from your use of them.


11. BETA AND PREVIEW FEATURES

11.1 Definition We may offer certain features as beta, preview, early access, experimental, or "Labs" features ("Beta Features"). Beta Features may be:

  • Incomplete or under active development
  • Subject to change or removal without notice
  • Contain bugs, errors, or performance issues
  • Not fully tested or supported

11.2 Use at Your Own Risk You understand and agree that:

  • Beta Features are provided "AS IS" and "AS AVAILABLE"
  • You use Beta Features at your own risk
  • We may suspend, modify, or discontinue Beta Features at any time without notice or liability
  • We are not responsible for any issues, downtime, data loss, or damages resulting from Beta Features

11.3 Feedback We encourage you to provide feedback on Beta Features. Your feedback helps us improve the Service.


12. SERVICE CHANGES AND AVAILABILITY

12.1 Right to Modify We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Change features, functionality, or content
  • Impose limits on certain features or restrict access to parts of the Service

12.2 No Guarantee of Availability We do not guarantee that the Service will:

  • Be available at all times or without interruption
  • Be error-free or secure
  • Meet your specific requirements
  • Operate in combination with your hardware, software, or internet connection

12.3 Maintenance We may perform scheduled or emergency maintenance that temporarily interrupts access to the Service.


13. PUSH NOTIFICATIONS AND COMMUNICATIONS

13.1 Push Notifications By enabling push notifications, you consent to receive:

  • Treatment schedules
  • Weather alerts
  • Marketplace activity notifications

  • Disable push notifications in your device settings or app preferences
  • Customize notification preferences within the app

13.3 Essential Communications Certain service-critical notifications (security alerts, account issues, important service changes) may still be sent even if you disable optional notifications.


14. DATA PORTABILITY AND EXPORT

14.1 Your Right to Export You may request a copy of your User Content in a commonly used, machine-readable format by contacting support@apiroi.com.

14.2 Process We will provide the requested data within a reasonable timeframe (typically 30 days), subject to:

  • Identity verification
  • Technical feasibility
  • Compliance with applicable law

14.3 Format Exported data may include JSON, CSV, or other standard formats, and may include photos and attachments in their original formats.


15. BACKUPS AND DATA RESPONSIBILITY

15.1 Our Backup Practices While we maintain regular backups of Service data, we do not guarantee:

  • Complete data recovery in all circumstances
  • Specific backup retention periods
  • Restoration of data after account deletion

15.2 Your Responsibility YOU ARE RESPONSIBLE FOR:

  • Maintaining your own backups of important data
  • Exporting critical records regularly
  • Verifying the accuracy and completeness of your data

15.3 No Liability for Data Loss To the maximum extent permitted by law, we are not liable for any data loss, corruption, deletion, or inaccessibility, regardless of cause.

16.3 Your Responsibility You are solely responsible for:

  • Making informed decisions based on your own expertise and professional advice
  • Any actions taken based on automated features

17. DISCLAIMERS

17.1 "AS IS" and "AS AVAILABLE" THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

17.2 No Warranties TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that the Service will be uninterrupted, secure, or error-free

17.3 Informational Content Apiroi may provide informational features, including:

  • Checklists and reminders
  • Weather information
  • Best practices and educational content
  • Treatment guidelines

This content is provided for general informational and educational purposes only and SHOULD NOT be considered:

  • Professional agricultural, veterinary, or medical advice
  • A substitute for consulting with qualified professionals
  • Tailored to your specific circumstances

17.4 Your Responsibility You are responsible for:

  • How you use the Service and any information provided
  • All decisions you make based on the Service
  • Consulting with appropriate professionals for advice specific to your situation

17.5 Third-Party Content We do not control or endorse user-generated content, marketplace listings, or third-party content, and we are not responsible for its accuracy, legality, or appropriateness.


18. LIMITATION OF LIABILITY

18.1 No Indirect Damages TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFCARE LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business, or anticipated savings
  • Loss of data, goodwill, or reputation
  • Service interruptions or downtime
  • Cost of substitute goods or services
  • Any damages arising from marketplace transactions or user interactions

This applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we were advised of the possibility of such damages.

18.2 Liability Cap Our total liability for any claims arising out of or relating to the Service or these Terms is limited to the greater of:

  • The amount you paid to PROFCARE LLC for the Service in the 12 months before the event giving rise to the claim, OR
  • $100 USD

18.3 Exceptions Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full. In such cases, our liability will be limited to the maximum extent permitted by applicable law.


19. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless PROFCARE LLC, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Service
  • Your User Content or Public Content
  • Your violation of these Terms
  • Your violation of any law, regulation, or third-party rights
  • Your marketplace transactions or interactions with other users
  • Any dispute between you and other users

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.


20. TERMINATION

20.1 Termination by You You may stop using the Service at any time. To delete your account, follow the instructions in the Privacy Policy or contact support@apiroi.com.

20.2 Termination by Us We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if:

  • You violate these Terms
  • Your account is inactive for an extended period
  • We are required to do so by law or legal process
  • Your account poses a security, fraud, or abuse risk
  • We discontinue the Service

20.3 Effect of Termination Upon termination:

  • Your right to access and use the Service immediately ends
  • You remain liable for all obligations incurred before termination
  • We may delete your account and User Content in accordance with our Privacy Policy
  • Sections that by their nature should survive (e.g., disclaimers, limitations of liability, indemnification) will continue to apply

20.4 No Refunds on Termination If we terminate your account for cause, you will not receive a refund for any unused subscription time or purchases.


21. EEA/UK CONSUMER RIGHTS

If you are a consumer in the European Economic Area (EEA) or United Kingdom:

21.1 Statutory Rights Nothing in these Terms affects your statutory rights under applicable consumer protection laws.

21.2 Digital Content You acknowledge that:

  • The Service provides immediate access to digital content and features upon purchase or account creation
  • For paid digital content, you expressly consent to immediate performance
  • Your right of withdrawal (cancellation) for digital content may be lost once performance begins, to the extent permitted by law and depending on the purchase flow

21.3 Conflicts If any provision of these Terms conflicts with your statutory rights, your statutory rights prevail.


22. GOVERNING LAW

22.1 Applicable Law These Terms and your use of the Service are governed by the laws of the State of New York, United States, without regard to its conflict of law provisions.

22.2 International Users If you access the Service from outside the United States, you are responsible for compliance with local laws in your jurisdiction.


23. DISPUTE RESOLUTION AND VENUE

23.1 Informal Resolution If a dispute arises, you agree to first contact us at support@apiroi.com and attempt to resolve it informally. Provide:

  • Your name and contact information
  • A description of the dispute
  • Your proposed resolution

We will attempt to resolve disputes in good faith.

23.2 Jurisdiction and Venue To the extent permitted by applicable law:

  • Any legal action or proceeding arising out of or relating to these Terms or the Service must be brought in the state or federal courts located in New York County, New York
  • You consent to the exclusive jurisdiction and venue of those courts
  • You waive any objection to jurisdiction or venue in those courts

23.3 Exceptions This section does not apply to the extent prohibited by law in your jurisdiction, including for EEA/UK consumers who may have mandatory rights to bring actions in their local courts.


24. MISCELLANEOUS

24.1 Entire Agreement These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and PROFCARE LLC regarding the Service and supersede all prior agreements and understandings.

24.2 Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

24.3 No Waiver Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of PROFCARE LLC.

24.4 Assignment You may not assign, transfer, or delegate these Terms or your rights and obligations without our prior written consent. We may assign these Terms to any affiliate, successor, or purchaser of our business without your consent.

24.5 Force Majeure We are not liable for any delay or failure to perform due to circumstances beyond our reasonable control, including:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Strikes or labor disputes
  • Pandemics or public health emergencies

24.6 Export Compliance The Service may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import laws and regulations.

24.7 Language These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

24.8 Relationship These Terms do not create any partnership, joint venture, employment, or agency relationship between you and PROFCARE LLC.

25. CHANGES TO THESE TERMS

25.1 Right to Modify We reserve the right to modify these Terms at any time.

25.2 Notice of Changes When we make changes:

  • We will update the "Last updated" date at the top of these Terms
  • For material changes, we may notify you via:
    • In-app notification
    • Email to your registered email address
    • Prominent notice on apiroi.com

25.3 Your Acceptance Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
